The Board of Directors conducts an annual review of the company’s vision, mission, and long-term goals to ensure alignment with the company’s operations and adaptability to changing circumstances. In the past year, during the Board of Directors’ Meeting No. 1/2025, held on February 26, 2025, the board resolved to revise the company’s vision, mission, and long-term goals to align with its transformation into a Holding Company. Company Background
Milestone
- The Extraordinary General Meeting of Shareholders No. 1/2567, held on 26 September 2024, approved the sale of 12,000,000 common shares of GMM Public Company Limited (“GMM”), a subsidiary of the company, to a strategic investor, Warner Music Hong Kong Limited (“WMHK”).
- WMHK is a subsidiary of Warner Music Group Corp. (“WMGC”) and/or its affiliated entities (collectively referred to as the “WMGC Group”). The transaction represents 1.5% of the total issued and paid-up common shares of GMM.
- GMM O Shopping Company Limited ("O Shopping"), a subsidiary of the Company, sold all investments held in the joint venture company, O2KISS Company Limited ("O2KISS"), in the amount of 3 million shares (representing 60% of the registered capital) to Rojukiss International Company Limited Public Company Limited ("KISS") at 5 million Baht.
- GDH 559 Co., Ltd. (GDH) and Broadcast Thai Television Co., Ltd. (BTV) incorporated Special Destiny Co., Ltd. (Special Destiny). They collaborated with Qbix Digital Asset Co., Ltd. (Kubix), a company in the Kasikornbank group and a digital token offering system provider (ICO Portal) in offering "DESTINY TOKEN" digital tokens for investment in the movie Love Destiny 2. The total subscription was 16,087 tokens with a fundraising value of 265 million Baht. The investment period is not over 2 years.
- The Company launched "GMM Academy," a world-class artist institute committed to forming Thai idol artists by focusing on 3 parts: idols, pop stars and Thaidols (Luk Thung Artists). There are many talented trainers namely: (1) Mr. Wittawat Weerayano (Teacher Jay), Vocal Master, graduated in vocal training from 5 institutions abroad, and the first person in Asia to get the 1st place from the Panel Test of the Institute For Vocal Advancement from America. (2) Khun Apisarat Petchruangrong (Teacher Jeda), Performance Master, received the Best Choreographer Of The Year award from Mnet Asia Music Awards 2016 and represented Thailand as a judge in The World Hip Hop Dance Championship Hiphop International.
- The Company cooperates with VGI Public Company Limited (VGI), a marketing leader in Offline-to-Online ("O2O") Marketing Solutions. They jointly launch a 3D City Pop campaign, a new media format with innovative Technic 3D Entertainment Illusion, attracting public attention with GMM artists, namely Peck Palitchoke, Getsunova, and Three Man Down, to sing in vertical 3D Concert on the Empire Tower LED screen. There will also be a wrap of the BTS train designed by artists such as Num Kala, Cocktail, Tilly Birds, and Big Ass.
- The Company held a concert on 11-13 November (3 rounds) "SINGING BIRD 2022 Episode LIFETIME SOUNDTRACK CONCERT" growing up with Bird's song at Impact Arena, Muang Thong Thani.
- GMM SHOW Units under the Company was the organizer of the biggest music festival in the north, "Chang Music Connection Presents Chiang Yai Fest 3" on November 19-20 at the Royal Train Garden Resort, Chiang Mai
- GMM SHOW Units under the Company were the organizer of the first music festival in the heart of Bangkok, "The Concert Application Presents Monster Music Festival," November 26-27, comprising 5 stages with 70 artists at the National Stadium.
- the Company organized the 12th Pepsi presents Big Mountain Music Festival "ALL-NEW BMMF12 It-New-Totally" December 10-11, 2 days and 2 nights, on an area of 600 rai, 9 stages, totalling 150 artists at the Ocean Khao Yai, Nakhon Ratchasima Province.
- The Company launched the project "New Country," a new wave of country music from the Grammy Gold, which released the first music video of the song "Stand by handsome" from 4 members, led by Embo, Tintin, Nu, and Guitar. The group received a good response, especially on TikTok. In addition, the Company has released the song "Ting Ka" by 2 girls, Kik and Matsee, with a fun musical rhythm and has already been viewed on YouTube with more than 2 million views.
- O Shopping Co., Ltd, a subsidiary of the Company, and Rojukiss International Public Company Limited (“KISS”), a leading health and beauty company, established a Joint Venture company under the name O2 Kiss Co., Ltd. with the objective to operate procurement, selling wholesale and/or retail, marketing and sales promotion for cosmetic products, cosmeceuticals, and food supplement, where O Shopping Co., Ltd. hold a 60% stake with the registered capital of THB 50 million.
- The Company disclosed board resolution for approval of the initial public offering (IPO) framework of the newly issued ordinary shares of the companies under The One Enterprise Company Limited (“ONE”), a joint venture of the Company, and the listing of ONE in the Stock Exchange to strengthen the Company’s key business in producing content, including dramas, series and programs which focus on broadcasting via digital TV channels and FM radio frequency channels.
- The Company passed a resolution to approve the sale of shares in GMM Channel Holding Company Limited, a joint venture of the Company, in the amount of 9,999,998 shares with a par value of THB 100 per share, or equivalent to 50 percent of the total shares of GMM Channel Holding Company Limited at THB 120 per share for a total of THB 1.2 billion, to The One Enterprise Company Limited, another joint venture of the Company. This restructuring has resulted in the Company’s investment in just one joint venture, namely, The One Enterprise Company Limited.
- The Company passed a resolution to approve the purchase of shares by GMM Holding Company Limited, a 100 percent wholly-owned subsidiary of the Company, in ‘GMM Channel Company Limited’ for a total of 20,920,000 shares with a par value of THB 100 per share, or equivalent to 100 percent of the total sold shares at the price of THB 1.
- The Company passed a resolution to approve the purchase of shares by GMM Holding Company Limited, a 100 percent wholly-owned subsidiary of the Company, in ‘Content and Artist Network Company Limited’ for a total of 1,000 shares with a par value of THB 100 per share, or equivalent to 100 percent of the total sold shares at the price of THB 1.
- The Company passed a resolution to approve the purchase of shares by GMM Holding Company Limited, a 100 percent wholly-owned subsidiary of the Company, in A-Time Traveler Company Limited. The purchase of said shares was made from A-Time Media Company Limited and the original shareholders of A-Time Traveler Company Limited for a total of 10,000 shares with a par value of THB 25 per share, or equivalent to 20 percent of the total sold shares at the price of THB 250,000.
- The Company has also passed a resolution effective after the sale of all shares of GMM Channel Holding Company Limited to The One Enterprise Company Limited, with GMM Channel Company Limited as a subsidiary of the Company and licensee for the use of frequencies and as a digital terrestrial television broadcasting business operator. Said resolution approves entering into a contractual agreement for the appointment of a marketing representative for the GMM 25 television channel as well as a licensing agreement for the use of television program names and an intellectual property license agreement between GMM Channel Company Limited and GMM Channel Holding Company Limited for the operation of programs on the GMM 25 television channel starting from January 1, 2021, and expiring at the specified expiry date of the GMM 25 television channel license (including the renewal period). Said license is currently set to expire on April 24, 2029.
- The Company passed a resolution approving financial assistance to The One Enterprise Company Limited as a guarantee for loans from financial institutions in the amount of 31.27 percent, or not more than 50 percent of the THB 2.2 billion loans to The One Enterprise Company Limited to be used as a funding source for the purchase of share prices in GMM Channel Holding Company Limited. The maximum guarantee amount is THB 1.1 billion.
- The Company deregistered discontinued subsidiaries with the Ministry of Commerce, Tifa Studio Limited, Gung Ho Studio Company Limited, and Deetalk Company Limited.
- The Company closed down “Family know how Co., Ltd” an associate, jointly-owned (50 percent) with the Stock Exchange of Thailand, announced the discontinuing of Money Channel which broadcast on cable TV and satellite TV from 1 January 2019 onwards.
- The Company closed down inactive subsidiaries; Tifa Studio, Gung Ho Studios and Bravo Studios.
- The Company disposed of the total investment of 90,000 shares or 50 percent of registered capital in 3-RD Company Limited ("3RD"), a subsidiary of the Company to TV Direct Public Company Limited at the price of 111.11 Baht per share amounting to THB 10 million.
- The One Enterprise Co., Ltd., a joint venture successfully increased its registered capital by selling 19,050,000 shares to Prananporn Co., Ltd. at a price of 100 Baht per share totaling 1,905 million Baht equivalent to 50 percent of registered capital. Which resulted in changes in shareholding proportion in The One Enterprise of the Company and Mr. Takonkiet Viravan into 25.50 percent and 24.50 percent respectively; while each shareholder shall provide a guarantee against the debt obligation that The One Enterprise has against the financial institution amounting to 50 percent.
- The company entered into the Agreement of Sale and Purchase of Shares in One Enterprise (the "Share Sale and Purchase Agreement") where One Enterprise increase its registered capital by 1,905 million baht. Therefore, the Company will hold 25.50 percent, Mr. Takonkiet’s Group would hold 24.50 percent, and Prananporn would hold 50 percent of the shares in the One Enterprise.
- The Company has duly entered into an agreement directly with UNION DES ASSOCIATIONS EUROPEENNES DE FOOTBALL (“EUFA”) in order for the Company to obtain the broadcasting rights of the European Qualifiers-Qualification Competitions for the 2018 FIFA World Cup. In addition, the Company has entered into a memorandum of agreement with Bangkok Entertainment Co., Ltd., and BEC Multimedia Co., Ltd. (collectively “BEC”) to grant the broadcasting rights of the European Qualifiers-Qualification Competitions for the 2018 FIFA World Cup to BEC for airing via BEC’s channels.
- The Chief of the National Council for Peace and Order (NCPO) exercised Section 44 of the interim constitution by issuing Order 76/2016 to relieve the burden for digital TV operators by granting an extension of the deadline to make license payments from 3 years to 6 years with interest rate charged based on MLR by Bank of Thailand. Also, the NBTC and the broadcasting development research fund administrative committee would subsidize the satellite uplink costs for all digital TV stations under the must-carry rules for the next three years.
- In addition, NCPO's order also grants authority to NBTC to revoke the radio frequency licenses totaling 537 channels from government agencies and state enterprises within five years instead of the old one which NBTC has to revoke the licenses in April 2017.
- Shut down the operation of GMM Tai Hub Company Limited (GTH) from December 31st, 2015 onward. The Company will manage all the rights for movies produced by GTH until the official rights management person is announced later on. All projects currently in production shall be continued and completed.
- Established subsidiary named “GDH 559 Company Limited” (GDH 559) which concentrates on movie production and distribution, media advertisement, and artist management. GDH 559 currently has 5 million baht in paid-up capital and the Company hold 51% stake.
- The Company signed a merger agreement with CTH Plc. in order to expand the pay TV business. It acquired 30,000,000 common shares of CTH Public Company Limited (“CTH”) totaling Baht 1,030,000,000. In this regard, the Company settled the acquisition of those shares by the selling of 100% common shares of GMM B Company Limited (“GMM B”) to CTH’s subsidiary named CTH LCO Company Limited (“CTH LCO”). Thus, GMM B ceased to be a subsidiary of the Company since then. The combination of the two firms will enhance performance of marketing, programs, network, and customer base.
- By resolution of the Extraordinary General Meeting of Shareholders No. 1/2014, the Company increased its registered capital to maximum 183,631,793 shares with details as follows:
- The Company alloted and offered maximum 63,631,793 registered shares capital at the price of 13.50 baht per share to the existing shareholders (Rights Offering) according to pro rata basis -10 existing shares per 1 new share. The remaining ordinary shares capital were allotted and offered to the private placement.
- Maximum 120,000,000 ordinary shares capital were alloted and offered to the private placement.
The objectives of this capital increase, is to support investment plans and to strengthen financial status of the Company which enables sustainable business operation as well as long term benefit to the shareholders.
- Grammy jointly invested with our Associate (Scenario Co., Ltd.) in common share of Acts Studio Co., Ltd. for construction of the huge studio production; 50% of Baht 200 million registered capital.
- Grammy jointly invested in common share of Lucks Satellite Co., Ltd. Produce the content for broadcasting via satellite channel; 25% of Baht 20 million registered capital.
- Investment in 3-RD Co., Ltd., through 50 % holding in capital of Baht 2.63 million.
- Through our Subsidiary, GMM Media Plc., Investment in Channel V Music Thailand Co., Ltd., through 25 % holding in capital of Baht 16.25 million.
